ONNIFY Works provides AI automation solutions and consulting services, including but not limited to:

• Intelligent chatbot development and deployment
• Marketing automation systems
• Growth website design and development
• Social media automation
• AI consulting and strategy services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not interfere with or disrupt the services or servers
• Not attempt to gain unauthorized access to any systems or networks

Uptime Guarantee

For AI automation services, we strive to maintain 99.9% uptime. Scheduled maintenance will be communicated in advance when possible.

Support Response Times

• Critical Issues: Response within 2 hours during business hours
• High Priority: Response within 4 hours during business hours
• Medium Priority: Response within 24 hours
• Low Priority: Response within 48 hours

Pricing

Service pricing is outlined in individual service agreements or quotations. All prices are in Singapore Dollars (SGD) unless otherwise specified.

Payment Schedule

• Initial setup fees are due upon project commencement
• Monthly subscription fees are billed in advance
• Payment is due within 14 days of invoice date
• Late payments may incur a 1.5% monthly interest charge

Accepted Payment Methods

We accept bank transfers, credit cards, and PayNow (Singapore).

Cancellation

• Monthly subscriptions can be cancelled with 30 days written notice
• Annual contracts require 60 days written notice
• Early termination fees may apply for long-term contracts

Refunds

• Setup fees are non-refundable once work has commenced
• Monthly subscription fees are non-refundable once paid
• Refunds for cancelled services are prorated based on unused time
• Money-back guarantee available for first 30 days (terms apply)

ONNIFY Works IP

All content, features, and functionality on our website and in our services, including but not limited to text, graphics, logos, software, and AI models, are owned by ONNIFY Works and are protected by international copyright, trademark, and other intellectual property laws.

Client IP

You retain all rights to your data, content, and materials provided to us. We use your data only to deliver our services and as outlined in our Privacy Policy.

License Grant

Upon full payment, you receive a non-exclusive, non-transferable license to use the AI solutions we develop for you, subject to these Terms of Service.

We treat all client information as confidential and will not disclose it to third parties except as required by law or with your explicit consent.

Both parties agree to maintain confidentiality of proprietary information disclosed during the course of our engagement.

To the maximum extent permitted by law, ONNIFY Works shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.

Our total liability for any claims arising from our services shall not exceed the amount you paid us in the 12 months preceding the claim.

We do not guarantee specific business results from the use of our AI automation services.

You agree to indemnify and hold harmless ONNIFY Works, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use or misuse of our services
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Your breach of any applicable laws or regulations

Our Warranties

We warrant that our services will be performed in a professional and workmanlike manner.

Disclaimers

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC).

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Singapore for any disputes that cannot be resolved through arbitration.

We reserve the right to modify these Terms of Service at any time. We will notify you of significant changes via email or through a prominent notice on our website.

Your continued use of our services after any modifications indicates your acceptance of the updated Terms of Service.

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.

These Terms of Service, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and ONNIFY Works regarding the use of our services.
